Acceptance of Terms

This Affiliate Agreement (“Agreement”) is entered into by and between HTM Solutions, llc. Dba. MiNIL (“Company,” “we,” “us,” or “our”), and the individual or entity applying to participate in the MiNIL Affiliate Program (“Affiliate,” “you,” or “your”). By applying to or participating in the MiNIL Affiliate Program, you agree to be bound by the terms and conditions set forth in this Agreement.

1. Introduction to the Agreement

The MiNIL Affiliate Program allows approved Affiliates to promote MiNIL.org products and earn commissions on qualifying purchases made through their unique referral links. MiNIL provides educational products and resources related to Michigan high school NIL (Name, Image, and Likeness) and Personal Branding Activity (PBA) under the framework established by the Michigan High School Athletic Association. This Agreement governs your participation in the Affiliate Program and establishes the terms under which commissions may be earned and paid. Participation in the Affiliate Program is voluntary and subject to approval by MiNIL.

2. Definitions - For purpose of this Agreement

Affiliate -Means the individual or entity approved to participate in the MiNIL Affiliate Program.
Affiliate Link - Means the unique tracking URL assigned to the Affiliate for purposes of tracking referrals and commission eligibility.
Commission - Means the percentage-based compensation earned by the Affiliate for qualifying purchases made through their Affiliate Link.
Customer - Means an individual who purchases MiNIL products through an Affiliate Link.
Qualifying Purchase - Means a completed and paid transaction for a MiNIL product that is not refunded, disputed, or reversed.
Program - Means the MiNIL Affiliate Program.
Products - Means digital educational products offered through MiNIL.org, including but not limited to: Player Social Media Handbook + Toolkit, NIL Readiness Profile, Athlete Website / Build Your Brand, Parent, Sponsor, and School NIL education products.

3. Participation Requirements and Partner Obligations

To participate in the MiNIL Affiliate Program, Affiliates must:
Provide accurate and complete application information
Maintain an active and valid account
Use only authorized Affiliate Links provided by MiNIL
Promote MiNIL products honestly and ethically
Comply with all applicable laws, regulations, and platform policies

Affiliates agree to:
Represent MiNIL products truthfully
Avoid making false or misleading claims
Clearly disclose affiliate relationships when required by law (including FTC disclosure requirements)
Maintain professionalism in all promotional activities

Affiliates are solely responsible for their promotional activities.
MiNIL reserves the right to approve or reject any Affiliate application at its sole discretion.

4. Policies and Prohibited Activities

Affiliates may NOT engage in any of the following activities:
Fraudulent Activity
Generating fake referrals or purchases Using bots, scripts, or automated systems
Self-referrals to earn commissions on personal purchases
Misrepresentation
Making false claims about MiNIL products
Representing MiNIL as affiliated with the Michigan High School Athletic Association or any school
Claiming MiNIL provides legal advice, NIL placement, or deal facilitation
Unauthorized Use of Branding
Altering MiNIL trademarks, logos, or branding without permission
Creating fake websites or social profiles impersonating MiNIL
Spam and Unethical Promotion
Sending unsolicited spam messages
Posting affiliate links in inappropriate or deceptive contexts
Illegal or Harmful Content Promotion
Promoting MiNIL in connection with illegal activities
Promoting MiNIL on websites containing illegal, harmful, or inappropriate content
Violation of these policies may result in immediate termination and forfeiture of commissions.

5. Commissions and Payments

Affiliates are eligible to earn commissions on qualifying purchases made through their Affiliate Links.
Commission rates range from :
20% to 25% per product sale Specific commission rates may vary by product and may be updated by MiNIL at any time.
Commissions are earned only when :
The customer completes a valid purchase Payment is successfully received The purchase is not refunded, disputed, or reversed
Commissions will NOT be paid on :
Refunded purchases Chargebacks or disputes Fraudulent or self-generated purchases
Payment Terms :
Commissions are paid after a minimum holding period of 30 days to account for refunds or disputes Minimum payout threshold: $100 USD Payments are issued via [PayPal / Stripe / Bank Transfer — Determined by MiNIL]
MiNIL reserves the right to adjust commission rates or payout terms at any time with notice.

6. Termination of Affiliate Account

MiNIL reserves the right to suspend or terminate an Affiliate account at any time, with or without cause.
Reasons for termination may include, but are not limited to: Violation of this Agreement, Fraudulent activity, Misrepresentation of MiNIL products, Abuse of the Affiliate Program.
Upon termination:
Affiliate access to the program will be revoked Any unpaid commissions associated with violations may be forfeited.
Affiliates may also terminate participation at any time by providing written notice.

7. Limitation of Liability

MiNIL makes no guarantees regarding the amount of commissions an Affiliate may earn.
MiNIL shall not be liable for:
Lost profits, Lost revenue, Indirect or consequential damages. Affiliate business losses.
MiNIL is not responsible for:
Technical tracking errors, Website downtime, Payment processing interruptions

The MiNIL Affiliate Program is provided “as is” without warranties of any kind.

8. Independent Contractor Relationship

Affiliates are independent contractors.
Nothing in this Agreement creates:
Employment, Partnership, Joint venture, Agency relationship.
Affiliates have no authority to bind MiNIL to contracts or obligations.

9. Modification of Agreement

MiNIL reserves the right to modify this Agreement at any time.
Continued participation in the Affiliate Program constitutes acceptance of any updates.

10. Governing Law

This Agreement shall be governed by the laws of the State of Michigan.
Any disputes shall be resolved in the State of Michigan.

11. Acceptance of Agreement

By applying to or participating in the MiNIL Affiliate Program, you acknowledge that you have read, understood, and agreed to this Affiliate Agreement.
